Internet & E-Commerce Group:
The volume of e-commerce that is conducted over the Internet is growing at an incredible pace. The government cannot keep up with it and, as a result, there is little-to-no regulation for the business conducted on-line. Our Firm has helped emerging e-businesses by augmenting the experiences of the company's management team and helping to develop the business models as ways of attracting capital, as well as identify the key elements for attracting and retaining employees. We have also helped these new companies forge alliances with strategic partners, using the web as a platform to do new things and perfecting fulfillment capabilities.

Beyond the hurdles of raising capital and meeting performance/productivity metrics common to businesses of any stripe, three of the largest issues facing this emerging industry are privacy, intellectual property and taxation.

A profusion of personal information -- such as credit card numbers, addresses, phone numbers, etc. -- is transmitted across the Internet without adequate security measures in place. "Cookies" allow a system to 'remember' which sites it has visited and provide a gateway for web site operators to access vital information from a computer system without the user even knowing. The map of E-commerce is being redrawn every single day. What's more, the legal intersection between Internet business practices and personal privacy is the front-line for civil disputes. The implications for e-marketers, e-tailers, distributors and every employer with an Internet connection are enormous. We help companies be upfront about their privacy policies and addressing the tension between target marketing and consumer privacy. Our attorneys' experience makes a profound difference in their capacity to assist, understand, advise and respond to clients and their computer-related privacy matters.

On the intellectual property front, a well-publicized issue revolves around protecting domain name registration, "cyber-squatting" and particularly aggressive "meta-tagging." Our attorneys are well-versed in all areas relating to creation, protection and enforcement of rights in web intellectual property (trademarks, copyrights, patents and trade secrets) and have commanded effective "cease and desist" injunctions. Increasingly, however, we are helping companies develop strategies for restraining competition through employee agreements, namely non-compete, nondisclosure, and non-solicitation agreements.

The U.S. moratorium on sales tax, while likely to be extended, leaves many other tax questions unanswered. States are seeking to replace tax revenues from "bricks & mortar" businesses; entrepreneurial companies -- especially those with less experienced management leadership may not be prepared for multi-jurisdictional tax issues or the complex balancing of tax-advantages on the balance sheet; consolidation triggers a host of taxable events; and accelerated growth in personal wealth needs to be addressed with personal planning for responsibilities.
